This Friday, June 12,, 2026, David Tingstad, Beresford Booth Partner and Chair of the Business, Mergers and Acquisitions Team, presents continued learning education regarding business law updates for the Washington State Bar Association. Along with Attorney Douglas Batey from Batey Business Law PLLC, David will share on the topic, “Washington’s LLC Act – How Did It Get Here, How Does it Compare and Where’s It Going?”
Hundreds of thousands of Washington LLCs are governed by our state’s LLC Act. David and Doug will cover the significant historical changes to Washington’s LLC Act that have affected older LLCs and their agreements, and the planning opportunities that have resulted from those changes. Because Delaware and other states are sometimes considered as a potential state of formation for LLCs, they will review some of the key differences between Washington’s LLC Act and the LLC statutes of Delaware and Texas, and the Revised Uniform Limited Liability Company Act (RULLCA), that affect the state-of-formation choice. They will discuss changes to Washington’s LLC Act that the Partnerships & LLC Law Committee of the WSBA’s Business Law Section are evaluating, for possible consideration and approval by the legislature.
